Commercial contracts
Drafting, negotiating and reviewing distribution, services, supply and technology agreements.
We draft, negotiate and review the agreements through which a company buys, sells, distributes and provides services. We work under the Colombian Commercial Code and Civil Code and the special rules that apply to each relationship, such as the Consumer Protection Statute (Law 1480 of 2011) when the end recipient is a consumer.
We prefer agreements that can be enforced: measurable obligations, defined terms, clear consequences for breach and exit mechanisms that keep the parties out of court. We also review agreements already in performance to identify risks, renegotiate terms or end the relationship at the lowest possible cost.
We handle agreements with foreign counterparties, in Spanish and English, and define with the client the governing law and forum that best protect its interests.
What we do
- Distribution, commercial agency, dealership and franchise agreements, with attention to the payments Colombian law grants the agent on termination.
- Supply and sale of goods agreements, domestic and international, including Incoterms and general terms of sale.
- Services, outsourcing and contract manufacturing agreements, with service levels and liability rules.
- Software licenses, development, cloud services and other technology agreements, in coordination with our data and technology practice.
- Confidentiality, non-compete and exclusivity agreements.
- Business collaboration agreements: consortia, temporary unions, silent partnerships and joint ventures.
- General terms of contracting and terms of use for platforms and e-commerce.
- Warranties, penalty clauses, limitations of liability and force majeure clauses.
- Review of agreements in performance, renegotiation, assignment and early termination.
- Contract templates and negotiation guidelines for sales and procurement teams.
Questions we answer
- Can I terminate the agreement with my distributor without paying compensation?
- What happens if my foreign supplier breaches and the agreement is silent on governing law?
- Is a clause that caps my liability toward the customer enforceable?
- Do my online terms and conditions bind a user who only clicked "accept"?
- Can I collect the penalty clause and also claim damages?
- How do I keep a services agreement from being treated as an employment relationship?
