Real estate and construction
Acquisitions, purchase agreements, trusts, commercial leases and construction contracts.
Every real estate transaction depends on the quality of title and its registration. Before a purchase agreement is signed or a deposit is paid, we review the property's chain of title, liens, restrictions and zoning status, and we structure the transaction through the vehicle that best protects the buyer or developer: a direct sale, a real estate trust (fiducia inmobiliaria), a contribution to a company or an assignment of trust rights.
We support construction projects from the purchase of the land to delivery: pre-sale and administration-and-payment trusts, urban planning licenses, construction and supervision contracts, the condominium regime under Law 675 of 2001 and claims for construction defects. In commercial leases, we negotiate and review contracts for retail premises, warehouses and offices, with particular attention to renewal, notice of termination and security.
We coordinate with our tax and corporate practices so that the structure of the deal does not create avoidable costs.
What we do
- Title searches and legal due diligence on buildings and land.
- Purchase agreements (promesas de compraventa), public deeds and filings before notaries and the public registry office.
- Structuring of real estate trusts for pre-sales, administration and payments, and land holding.
- Construction, design, supervision and supply contracts for development projects.
- Condominium bylaws and advice to developers and condominium administrators.
- Commercial leases: negotiation, renewal, termination and recovery of the premises.
- Support with urban planning licenses and filings before curadurías (licensing offices) and municipal authorities.
- Claims for hidden defects, construction defects and breach of purchase agreements.
- Security over real estate: mortgages, security trusts and their release.
- Purchase and sale of asset portfolios and of property-holding companies.
Questions we answer
- What should I check on the title certificate before signing the purchase agreement?
- The seller missed the deed signing date. Can I collect the penalty and walk away?
- Is it better to buy the property directly or the company that owns it?
- My tenant has been in the premises for more than two years. Can I ask for it back when the lease ends?
- The builder delivered the building with leaks. Who is liable and for how long?
- What happens to the buyers' money if the project does not reach its break-even point?
